Value is typicall assets plus goodwill plus contracted works in these kind of scenarios. However contracts are extremely hard to enforce ( if they even exist ) due to consumer legalisation. Often the goodwill & contracts are valued on sliding scale with payments made to seller on key dates after the sale ( supporting the fact that the longer you keep the customers after the sale, the more the sale price lives up to expectations ).
