registering a company name query

Hi, just after some advice regarding ltd companies.

In short, if i had a company name for example of total property group limited, and wanted to name a van total gardening so total gardening, part of the total property group, would i need to register total gardening limited also or would the total property group limited cover these seperate smaller parts of the company, obviously the aim is to add on to suit the needs of the business.

  • If another company is already registered as 'Total Gardening' then you could not use that name in any capacity even under the umbrella of 'Total Property Group Ltd'. I'm assuming 'Total Property Group' is available. 

    What I don't know is whether you can set up a Limited Company (e.g. 'Total Gardening' Ltd'). under an umbrella of another Limited Company (Total Property Group Ltd). An accountant will tell you in a heartbeat. Total Gardening doesn't need to be Limited though does it? Its just a department or branch of Total Property. Unless there are other stakeholders that need to be considered that maybe wouldn't be involved in Total Gardening then yeah you can sign your van up however you like (assuming no-one else has the name). Keep us informed.

      The company i intend to form wont be total but just using total as an example but in princiipal same thing as like you say the gardening division would purely be under the umbrella of the main company total property group, the property group ltd element is available but the gardens part isnt. Initially only wanted to go down the sole trader route, but wanted to safeguard for future, and even as sole trader would the property group or total gardens part would be the trading name so either way need a name that doesnt cause any conflict with other firms. One other option is to have total gardens ( northwest) limited but dont particularly like the northwest bit, i guess i want all or nothing, hence trying to go with an umbrella option. Hope all this makes sense.

  • Have your ltd company under any name you like as long as it's not already taken or being very similar to an already incorporated company.
    As for the subsidiaries you can call them whatever you like but without the ltd tag. I.e you are "total property group ltd" you can advertise or trade under any other name you like, it's still the same entity, the money is all going into and out of the same account, one set of accounts.
    If you want "total gardening Ltd" also then that's a separate company and another set of accounts. So incorporate as "total property group Ltd" and sudsideries can be named without Ltd tag or can be named as a subsidiary of "total property group Ltd".
    • And sorry, yes as a sole trader you could call yourself "total gardens" even if it's already taken as a business in any format Ltd or not. You cannot however incorporate it if there is already a total gardens ltd.

    Hi Liam

    What you can do is set up your company Total Property Group Ltd registering the name with companies house etc.  You could then trade as something else so for example 'Total Gardening', as long as your invoices and headed paper detail the company particulars correctly all is good.  You can out any name you like on the van it is the detail on the paperwork that is important.  So you could easily be Total Property Group Ltd t/a Total Gardening and not need to set up another company. If you have a bank account in the name of Total Property Group Ltd, you will need to tell the bank that you trade as 'Total Gardening' as well in order that they are willing to accept cheques payable to both names into the same account.  We have one limited company but trade as Bawden Tree Care, Bawden Landscapes and Bawden Managed Landscapes, works well for us.
